Prepare the business before you prepare the sale.

The best time to discover what a buyer will question is while you still have time to do something about it.

A sale process creates scrutiny. Numbers that made sense to you for years need to make sense to someone who has not lived inside the business. Informal management arrangements, unexplained adjustments and owner-dependent relationships can all create uncertainty.

Make performance easy to follow

Management accounts, occupancy, fees, staffing and cash should tell a consistent story. If the buyer has to reconstruct basic performance from several systems or spreadsheets, confidence falls and questions multiply.

Reduce owner dependency

A buyer wants to know what happens when you leave. If every difficult decision, supplier relationship, staffing issue or parent escalation still depends on the owner, that is an operational risk. Stronger management and documented routines make the transition easier to understand.

Deal with known issues before due diligence

Recurring staffing problems, old debt, weak contracts, inconsistent records or unexplained cost movements do not become less important because the business is being sold. Addressing what you can early usually gives you more options than explaining it under deadline pressure.

Separate preparation from valuation

Exit readiness is about the quality, clarity and transferability of the business. A valuation or sale process needs the appropriate accountant, corporate-finance adviser, broker and solicitor. Good operational preparation helps those advisers work with a business that is easier to explain.

Do not wait until a buyer asks for information before deciding whether the information exists.

A practical exit-readiness check

  • Can a third party understand monthly performance quickly?
  • Are occupancy and fee trends supported by reliable data?
  • Does the management team operate without constant owner intervention?
  • Are major contracts, leases, policies and key records organised?
  • Are there known operational issues that can be resolved now?
  • Can you explain what drives sustainable earnings without relying on one-off adjustments?
